Welcome to Picpee!

The following terms of service govern your access to and use of the Picpee website and marketplace platform, including any content, functionality, hosting options, and services (collectively, the "Services") provided through www.picpee.com by Picpee. In this document, Picpee will be referred to collectively as "Picpee", "we", "us", or "our", and "you" or "user" refers to the individual accessing or using the Site.

Please read these Terms of Service carefully before you begin using the Service. By using the Service, opening an account, or clicking to accept or agree to the Terms of Service when this option is presented, you confirm that you accept and agree to be bound by these Terms and Picpee's Payment Terms, and you acknowledge that you have read and understood our Privacy Policy. If you do not agree with any part of the Terms of Service or the Privacy Policy, you may not access or use the Service. Picpee's Customer Support team is available 24/7 to assist you with any questions regarding the Site or the Terms.

NOTE: IF YOU ARE A USER RESIDING IN THE UNITED STATES, THESE TERMS OF SERVICE INCLUDE AN AGREEMENT TO RESOLVE ALL DISPUTES BETWEEN US AND YOU, IN WHICH YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION.

1. Representations and Warranties

This website is offered and intended only for users who are 18 years of age or older and have the legal capacity to enter into binding contracts. If you are between 13 and under 18 years of age, you may only use the Site through an account created and managed by a parent or legal guardian with appropriate permission. Users under 13 years of age are not permitted to access or use the Site or Picpee's services.

By accessing and using the Site, you represent and warrant that you meet all of the eligibility requirements set forth above. If you do not meet any of the requirements, you may not access or use the Site.

2. Key Terms

  • A Buyer (also known as a "Customer") is a user who makes a purchase of services on Picpee.
  • A Seller (also known as a "Vendor") is a user who provides and performs services ordered through an Order on Picpee.
  • A User is any individual or organization that registers and uses an account on the Picpee platform.
  • A Service (which may be referred to as an Item or a Task) is a service that a Seller provides through the platform.
  • An order is a formal agreement between a Buyer and a Seller when a service is ordered through the Seller's marketplace.
  • An order page is an area where Buyers and Sellers communicate about the content, progress, or requirements of the ordered service.
  • A project is a collection of services and orders related to a specific request created by a Buyer.
  • Picpee storage refers to the remote or cloud storage service that Picpee provides for users to store electronic documents, files, information or data. Use of this storage service may incur additional fees; failure to pay on time may result in limited or terminated access.

3. Overview

Only registered users may purchase or sell services through the Picpee platform. Account registration is completely free. By registering, users agree to provide accurate, complete and up-to-date information. Users are fully responsible for all activities that occur under their account and are responsible for maintaining the confidentiality of their login information. Picpee is not responsible for any fraud, errors or negligence related to users' accounts.

Orders are created through the Seller's marketplace, from the Projects area, the Buyer's dashboard or through official integrations with the picpee.com website. Picpee does not directly perform the service and therefore does not guarantee or warrant the quality of work performed by service providers on the platform.

For fees and payment methods, please refer to Picpee's Payment Terms.

Users are not allowed to offer, propose or accept payment through any method other than the official platform at picpee.com. Violation of this provision may result in additional charges, account suspension or permanent ban from the platform (applicable to both Buyers and Sellers).

Picpee is committed to protecting the privacy of its users. Please refer to the Privacy Policy to understand how we collect, use and protect your personal information.

4. Sellers

Overview

Sellers are pre-verified professionals who have passed Picpee's review process to ensure they meet the minimum criteria to provide services on the platform. However, Picpee does not guarantee the quality of service or results of Sellers after initial verification. Sellers are solely responsible for providing and maintaining accurate, up-to-date information.

We encourage our Buyer community to provide honest, fair reviews to build and maintain Seller reputation. Picpee reserves the right to adjust a Seller's verification status based on feedback and reviews from Buyers. If, after contacting us, we find a valid reason, we may change the status.

Sellers who fail to maintain service levels such as: significantly reduced ratings, late deliveries, increased cancellation rates, or violations of the Terms of Service. May lose visibility on the platform or be subject to internal analysis based on those ratings.

Sellers may accept orders manually through Picpee's system or allow automatic order acceptance when a Buyer submits a service request. All orders must be completed by the agreed deadline. Failure to deliver on time may result in penalties, account suspension, or permanent ban from the platform.

Sellers must deliver all service products, including documents, files, and data, to the storage location designated by the Buyer.

Sellers will receive a percentage of the order value. For more information on payments, fees, and tax obligations, please refer to the Payment Terms.

Payments to Sellers will be processed once Picpee has received funds from the payment processor and the order has been marked as "delivered" and accepted by the Buyer (or automatically accepted within 72 hours if the Buyer does not request a correction). Payments will be credited to the Seller's Picpee account and then the Seller must transfer the funds to their bank account. Processing may take between 3 and 14 business days and is dependent on the payment processor's processes, which are beyond Picpee's control.

Sellers may not advertise or offer their Services directly to Buyers outside of the Picpee platform once a relationship has been established on the platform. Any violation of this may result in Picpee taking legal action and recovering fees paid through the violation.

In the event of suspicious signs of fraud or illegal activity, Picpee reserves the right to temporarily or permanently disable the Seller's withdrawal function to protect the financial safety of all parties involved.

If the Seller fails to complete the account connection with Picpee for payment within 12 months, all balances in the account will be forfeited and Picpee reserves the right to dispose of such funds.

It is the Seller's responsibility to provide general liability insurance with adequate coverage to cover the risks arising during the provision of the service.

Finally, the Seller is not allowed to intentionally copy or counterfeit the name, brand, portfolio or any content of another Seller's profile on the platform.

Services

A user's services may be removed from the Platform by Picpee if they violate our Terms of Service or Community Standards. Users may be charged a fee for violations, including the following:

  • Providing illegal or fraudulent services
  • Violating third party copyrights, trademarks, or terms of service under our Intellectual Property Complaint Policy
  • Adult, pornographic, or otherwise inappropriate/derogatory content
  • Services that contain spam, nonsense, violence, or misleading content
  • Services that mislead Buyers or other users
  • Repeated verified reports from Buyers of edits that do not meet minimum standards
  • Promoting Picpee or Picpee's services through activities that violate laws, regulations, or third party terms of service. As with any form of marketing that negatively impacts Picpee's relationship with our users or partners.

Violations may result in the suspension of the Seller's account or the imposition of additional processing fees. The fees applied per violation may increase depending on the severity and frequency of the violation. These fees will be deducted directly from the Seller's connected payment account.

A Seller who is removed from the platform for a violation will not be eligible for account reinstatement. Additionally, a Seller may be removed from Picpee's Search function for poor performance or violations of the Terms of Service, Privacy Policy, or other legitimate reasons at our sole discretion. If Picpee discovers that a previously banned Seller is operating through a new account. That new account may be suspended or terminated immediately without notice.

In the event that a Seller is found to be in violation of labor laws or other applicable laws in the jurisdiction where they reside or operate, we reserve the right to suspend or terminate the account at our sole discretion.

Picpee is committed to continuously engaging with users globally to listen to their concerns and identify positive use cases for the technology. Despite extensive research and testing, we cannot anticipate every way the technology could be used or abused. Therefore, we believe that learning from real-world use cases is essential to creating and deploying increasingly safer AI systems over time.

Buyer

  • Buyer pays Picpee in advance to create an Order (see Payment Terms).
  • Buyer may order specific services from Seller. When purchasing services provided by Seller, Buyer is granted full rights to the delivered product. Refer to the "Ownership" section below for more information.
  • Buyer may specify a storage location to receive documents, files and data from Seller.
  • Please refer to the Payment Terms for details on payment methods through the Picpee Platform as well as related fees and taxes.
  • Buyer may not offer or make payments to Seller by any method other than the official system at picpee.com or through our Services. If Buyer is asked to use an alternative payment method, it must be reported immediately to Customer Support. Failure to comply will be considered a violation of the Terms of Service.

Order

Once payment is confirmed, an Order will be created and a unique order number will be issued from Picpee.

When a Buyer submits an Order, the Seller will receive a notification on the Platform when logged into their account. It is the Seller's responsibility to adhere to the delivery deadlines agreed upon with the Buyer during the service and availability setup. Failure to adhere to these deadlines may result in the Buyer marking the Order as late, creating a complaint, and affecting the Seller's verification status.

The Seller must submit the completed files via the storage location designated by the Buyer, and use the "Delivery" button on the Order page to mark the Order as delivered.

The Buyer may use the "Request Revision" feature on the Order if the delivery content does not match the service description or original request. Any changes after the Order has been marked as "Delivered" are considered a Revision.

An Order will only be marked as Complete after both conditions are met: (1) Marked as "Delivered" and (2) Expressly Accepted by the Buyer. If after 72 hours of delivery the Buyer has neither accepted nor requested any amendments, the Order will be automatically marked as Complete and deemed accepted.

The "Delivered" feature may not be misused to circumvent the order fulfillment process set out in the Terms of Service. Use of this button when the job is not yet complete may result in the cancellation of the order, affect the verification status, and result in warnings or additional processing fees for the Seller.

It is the User's responsibility to scan all transferred files for viruses or malware. Picpee is not responsible for any damages arising from the use of the Platform, content provided, or files related to the Order, including files submitted by the Buyer or Seller.

Picpee is not responsible for files deleted from third-party cloud storage services managed by Buyers, nor is it responsible for restoring, refunding, or replacing files deleted by Sellers.

Disputes and Cancellations

We encourage Buyers and Sellers to resolve conflicts amicably. In the event that they cannot be resolved, or if a user discovers unauthorized use of the Platform, the user may initiate an Order dispute or contact Picpee Customer Support for assistance. For more information on disputes, order cancellations, and refunds, please refer to the Payment Terms.

Picpee will assist Buyers and Sellers in resolving disputes and may make decisions or take actions that affect either or both parties. Any such decisions and actions are at Picpee's sole discretion and without prior notice.

Review and Feedback

  • Feedback from Buyers after completing an Order is an important part of Picpee's rating system. Ratings reflect the Buyer's overall experience with the Seller and the quality of service provided.
  • Buyers are encouraged to communicate with Sellers about any concerns that arise during the order fulfillment process to facilitate service improvements.
  • Leaving a review is at the sole discretion of the Buyer. Reviews will not be removed unless there is a clear violation of Picpee's Terms of Service or Community Standards.
  • In order to prevent abuse of the review system, all reviews must come from actual transactions made solely on the Picpee platform. Transactions suspected of falsifying Seller ratings or abusing the system with sub-accounts will result in permanent suspension of all related accounts.
  • Comments from Buyers will be publicly displayed on the Seller's service profile page. If you find a comment that violates the Terms of Service or Community Standards, please notify us immediately.
  • If a Seller believes a review is false, they may submit a reconsideration request to Picpee for processing.
  • Delaying or withholding products, materials, or information in order to gain positive reviews or request additional services is strictly prohibited. This behavior is considered a serious violation of the Terms of Service.

Seller Response

After a Buyer posts a review, the Seller has 72 hours to respond, file a complaint, or request a review of the content with Picpee. If no response is received within the specified time, the review will be deemed approved by the Seller.

Sellers may not request that a Buyer remove a review by any means other than the formal process outlined in this section.

User Conduct and Protection Policy

To ensure safety and transparency on the Picpee platform, all users must comply with the following regulations:

  • Users who conduct communications or transactions outside the Picpee platform will lose the protections under our Terms of Service.
  • All information and files related to the Service must be exchanged solely on the Picpee platform.
  • Picpee does not guarantee the quality or specific level of service of the Seller. If the results do not meet expectations, the Buyer can use the dispute resolution section on the Orders page.
  • User identities are anonymized to protect privacy. Requesting or providing personal information such as email, phone number, account name or any form of communication to circumvent Picpee's system is a serious violation of the Terms of Service.
  • All payments, including additional payments for edits or additional work, must be made through Picpee's system. Negotiating, offering, or accepting payments outside of the platform is strictly prohibited.
  • Using abusive, threatening, or unprofessional language of any kind is prohibited. Violations may result in a warning, suspension, or permanent deletion of the account.
  • Users who intentionally defame or discredit a Seller by creating fake orders and negative reviews will have their reviews removed and may be severely punished. Similarly, users who inauthentically boost ratings by leaving fake positive reviews may also have their accounts suspended.
  • Picpee has zero tolerance for any discriminatory behavior related to gender, race, religion, age, sexual orientation, nationality, or any other factor. Violations will result in account suspension or termination.
  • Seller warrants that all content in the edited product is original or has been legally licensed by Seller. If using copyrighted images, videos, or materials, Seller must ensure that a valid license has been obtained to integrate into the product.
  • Picpee is committed to handling copyright or trademark infringement notices clearly and completely. The Intellectual Property Complaint Handling Policy can be referenced.

Violations and prohibited behavior

Violations

1. Reporting violations

  • Users who discover content that appears to violate Picpee's Terms of Service or Community Standards should report it via the platform's live chat feature. All cases will be reviewed by our Customer Support team.
  • To protect privacy, the results of the handling will not be made public. Please refer to the Privacy Policy for more details.

2. Warnings and actions

Users may receive warnings if they violate the Terms of Service, Community Standards, or report inappropriate behavior.

Warnings will be sent via email and may not immediately affect account activity. However, the following consequences may occur:

  • Loss of "Verified" status for Sellers.
  • Additional violation fees may be charged depending on the severity of the violation.
  • Permanent account ban for serious or repeat violations.

Prohibited behavior on Picpee

1. Pornography and adult services

Picpee strictly prohibits the storage or exchange of pornographic, obscene, or adult content on the system or during the performance of the service.

2. Inappropriate behavior and language

Picpee provides a communication platform including: messages, order reviews. Users must behave politely, professionally, and constructively. We do not tolerate:

  • Harassment, bullying, defamation, or threats against others.
  • Sexual, hateful, or offensive language.

3. Fraud & Spam

  • Picpee prioritizes user safety. Any intentional dissemination of malicious, fraudulent, or intrusive content is strictly prohibited.
  • Users may not contact others with offers unrelated to orders, services, or legitimate business purposes on Picpee.
  • Users may not use Picpee for any illegal purposes or in violation of the laws of their area of residence or applicable laws.

4. Privacy and identity security

  • Users may not post or share other people's personal information without their express consent.
  • The Seller warrants that any information received from the Buyer (if not public information) will only be used to complete the order, not for any other purpose.

5. User profiles are accurate and truthful

  • Do not create fake profiles, use other people's information, or intentionally provide false information.
  • The information on the personal profile (description, skills, experience, etc.) must be accurate, not misleading, not illegal, and not offensive to any individual or organization.
  • Picpee reserves the right to request identity verification (via ID, phone number, camera, etc.) to continue using the platform.

6. Copyright and intellectual property complaints

Picpee takes serious complaints related to violations of third-party copyrights, trademarks, or terms of service. The procedure for handling intellectual property complaints can be found.

Abuse and Spam

Duplicate accounts

To prevent fraud and abuse, each individual or organization is only allowed to have one active Picpee account.

Creating additional accounts for the purpose of:

  • Circumventing regulations
  • Gaining an unfair advantage
  • Distorting Picpee's review system or for any reason other than approval, will result in the disabling of all related accounts.
  • Creating multiple accounts may result in a permanent ban of the entire account system.

Note: Any violation of Picpee's Terms of Service or Community Standards may result in a permanent ban.

Intentional abuse

Picpee does not tolerate harassment, abuse, or targeted attacks on other users, including:

  • Creating new accounts to continue harassing via messages or orders.
  • Using the review system or forum to attack another person.

Account trading

Users are not allowed to buy, sell, transfer, or rent Picpee accounts in any form.

Intellectual property rights and Restrictions

Content ownership

The Picpee website including: layout, design, interface, content created by Picpee and other technical components of the system are the exclusive property of Picpee and are protected by copyright, trademark and intellectual property laws.

Users agree not to perform the following acts with the system or any part of the Picpee platform:

  1. Copy, modify, distribute, publish, or create derivative versions without permission.
  2. Decode, decompile, reconstruct or attempt to retrieve the source code of the system.
  3. Remove or alter copyright notices, intellectual property labels.
  4. Using bots, mods, or unauthorized third-party software to modify the platform.
  5. Attempting to gain unauthorized access to or disrupt Picpee's servers or networks.
  6. Bypassing, disabling, or otherwise circumventing any security measures or access restrictions on the platform.
  7. Mining or scraping data from Picpee using robots, scrapers, automated tools, or similar manual manipulation.
  8. Introducing malicious code (viruses, worms, trojans, etc.) into the system.
  9. Damaging the performance or other user experience of Picpee.
  10. Using Picpee in any way not expressly permitted in the Terms of Service.
  11. Users may not permit or encourage anyone else to do so.

Platform ownership

Except for the limited rights granted under the Terms of Service, Picpee retains full ownership of all intellectual property related to the platform, including:

  • Original content created by Picpee (excluding user-generated content).
  • System design, structure and functionality.
  • Picpee retains the exclusive right to develop, expand or create variations of this content.

Feedback and rights to use feedback

When you provide any feedback, suggestions or feedback regarding the Picpee platform or services (collectively, "Feedback"), you agree that:

  • Picpee shall have exclusive, worldwide, royalty-free, irrevocable and perpetual rights to such Feedback.
  • Picpee shall have no obligation to use any Feedback, but shall have the right to adapt, develop or modify the system based on the Feedback received.

Information security

The Seller must understand that during the order process, the Buyer may share confidential information to serve the completion of the product/service. Therefore, the Seller agrees to:

  • Consider all information from the Buyer as absolutely confidential.
  • For at least 1 year (or another period if agreed by both parties), commit to:
    • Keep the information received absolutely confidential.
    • Do not disclose information to third parties in any form.
    • Use information only for the purpose of completing the order.
    • Do not copy, store or disseminate information without the written consent of the Buyer.

Picpee will also keep all documents and data stored on the Picpee Storage system confidential by its staff, but cannot guarantee absolute confidentiality if access is granted to other users.

General terms

  • Picpee reserves the right to suspend or terminate an account, or impose additional fees on a Seller if it detects a violation of the Terms of Service or Community Standards, or misconduct/illegal behavior, as determined by Picpee in its sole discretion.
  • A disabled account will not be able to purchase or sell any services.
  • Users who violate the terms and have their accounts locked may contact Customer Support for further details on the reason and status of their accounts.
  • Users may enable account security features to prevent unauthorized access.
  • Users must verify account ownership when requested, by providing authentication information requested by Support.
  • Unresolved disputes must be resolved through Picpee's dispute support system.
  • Picpee may change the Terms of Service at any time and will update the content on this page with clear notice to users via the platform or direct contact channels.
  • Your continued use of the service after the changes are announced is considered your agreement to the updated Terms of Service.
  • Data stored on Picpee Storage will only be retained while the account is active. If the account is canceled or inactive for 12 consecutive months, Picpee has the right to delete all stored data of that account.

User Generated Content (UGC)

User Generated Content ("UGC") is all content uploaded by users (Buyers or Sellers) to the Picpee system, including data stored in Picpee Storage or outside the platform.

  • Picpee does not edit, does not approve, and is not legally responsible for content uploaded by users.
  • Users are solely responsible for the use, sharing, storage or transmission of their own content.

By uploading content, you warrant that:

  • You own or have the legal right to use the content;
  • The content does not violate:
    • The intellectual property rights, personal rights, privacy rights of any third party
    • Any local, national or international legal regulations
    • The policies or terms of any relevant parties.

If you find content that violates, please report it with proof of ownership. Content that is found to be infringing may be removed from the platform and the offending account may be suspended or terminated.

Ownership

When the Buyer submits an order and receives the product from the Seller on Picpee, and upon completion of payment, the Buyer shall be granted all intellectual property rights, including but not limited to copyright, in the delivered product, and the Seller waives all moral rights thereto.

  • The Seller expressly assigns to the Buyer all ownership and copyright in the delivered product.
  • The assignment of intellectual property rights shall only be effective upon receipt of full payment by the Seller.
  • If the order is canceled or not successfully paid, the Buyer shall not be allowed to use any part of the delivered product.

For products created on personal request, all copyright and ownership shall belong to the Buyer from the time of completion of delivery.

Picpee reserves the right to use the product without any confidential information and with the consent of the Buyer for the purpose of promoting the brand or service. The Buyer assumes all liability if the product is used in violation of the copyright of a third party.

Warranty Disclaimer

Your use of the Picpee platform, the content on the platform, Picpee Storage, and the services provided through the platform is entirely at your own risk.

All services, content, and functionality are provided "as-is" and "as-available," without any express or implied warranties.

Picpee and its affiliates make no representations regarding:

  • The accuracy
  • Completeness
  • Security
  • Reliability
  • Or quality of the content, services, or information provided.

Note: This disclaimer of warranty does not exclude any warranties that may not be excluded by applicable law.

Limitation of liability

In no event shall Picpee, its affiliates, licensors, suppliers, employees, agents or directors be liable for any damages arising from:

  • Use or inability to use the platform or services
  • Access to linked pages from the platform
  • Reliance on any content provided by the platform or third party services.

Damages include, but are not limited to:

  • Direct, indirect, special, incidental or consequential damages
  • Loss of data, lost revenue or profits
  • Loss of reputation, goodwill
  • Loss of emotional distress, physical or mental anguish
  • Cost of replacement services or products.
